1. General Provisions
1.1 General
1.1.1 The Contractor offers the Customer various agency services. The specific scope of services shall be the subject of individual agreements between the Contractor and the Customer.
1.1.2 The Contractor does not conclude contracts with consumers or private individuals.
1.1.3 The Contractor is entitled to subcontract the required services to subcontractors in its own name and for its own account, who in turn may also engage subcontractors.
1.2 Customer's Duties to Cooperate
1.2.1 Insofar as the Customer provides the Contractor with texts, images or other content for the performance of the commissioned services, the Customer shall ensure that such content does not infringe the rights of third parties (e.g. copyrights, trademark rights, etc.) or any other legal provisions.
1.2.2 The Customer is obliged to provide the information, data, works and access required for the performance of the order completely and correctly.
2. Website and Shop Development
2.1 Agile Methods
2.1.1 Unless otherwise individually agreed, the development of new websites/shops or the extension of existing websites/shops shall be carried out on the basis of agile methods.
2.1.2 The subject matter of website development contracts between the Contractor and the Customer is, as a rule, the development of new websites or the extension of existing websites in accordance with the technical and/or design specifications of the Customer.
3. Liability
The Contractor shall not be liable to the Customer for any security vulnerabilities that are exploited for unlawful purposes through the use of outdated third-party software.
4. Final Provisions
Should individual provisions of these Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision. German law applies. Place of jurisdiction is Worms, Germany.
